1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise or agency, "User", "you", or "your") and LocalYantra Technologies Pvt. Ltd. ("LocalYantra", "we", "us", or "our"), governing your access to and use of https://localyantra.com, the LocalYantra software dashboard, APIs, and associated tools.

By registering, accessing, or using LocalYantra, you affirm that you are at least 18 years of age and possess full legal capacity to enter into this agreement. If you do not agree to these Terms, you must discontinue use of the platform immediately.

2. Description of Services & 1-Day Trial

LocalYantra provides a Software-as-a-Service (SaaS) platform facilitating Google Business Profile (GBP) fleet management, AI-generated review replies, hyperlocal 13x13 Geo-Grid rank heatmaps, post scheduling, and multi-location analytics.

• 1-Day Free Trial: All new registered users receive an initial 24 hours of unrestricted premium access to evaluate features with zero payment required.
• Post-Trial Transition: To continue uninterrupted access after the 24-hour trial, you must choose an active subscription tier according to your profile count.

3. Subscription Tiers, Location Limits & Upgrades

Subscriptions are licensed based on the quantity of active Google Business Profile locations connected to your account:

• Starter: 1 Google Business Profile — ₹499/month
• Growth: 5 Google Business Profiles — ₹1,499/month
• Agency Pro: 10 Google Business Profiles — ₹2,499/month
• Enterprise: 20 Google Business Profiles — ₹3,999/month

Discounted billing is available for 3-Month (10% off), 6-Month (20% off), and Yearly (30% off) billing cycles. Attempting to synchronize profiles exceeding your plan tier requires an instantaneous in-app upgrade.

4. Payment, Taxes & Automatic Renewal

All subscription fees are billed in Indian Rupees (INR) through our certified payment partner, Razorpay.

• Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
• Applicable Goods and Services Tax (GST) is calculated and detailed on official tax invoices (SAC Code: 998313).
• Failed payments will trigger automatic retry notifications with a 3-day grace period before account features are temporarily paused.

5. Google API Terms & Compliance

LocalYantra interfaces with Google APIs, including Google Business Profile APIs and Google Maps APIs. By connecting your Google accounts:

• You warrant that you are the legitimate business owner or authorized agency representative for all managed listings.
• You agree to comply with Google's Policies for Representing Your Business on Google.
• LocalYantra is an independent software tool. We do not control Google's search algorithms, ranking changes, or suspension decisions made by Google LLC.

6. Prohibited Activities & Acceptable Use

You agree not to engage in any of the following unauthorized activities:

• Publishing fake, misleading, defamatory, or fraudulent reviews or posts on Google Maps.
• Reverse-engineering, decompiling, or attempting to extract the source code of LocalYantra.
• Reselling, sublicensing, or renting access to unauthorized third parties outside your agency organization.
• Using automated scrapers or bots to disrupt our API infrastructure.

7. Intellectual Property Rights

All trademarks, logos, visual interfaces, algorithms, and software code comprising LocalYantra are the exclusive property of LocalYantra Technologies Pvt. Ltd. You retain complete ownership of all business profile data, images, and content you upload or connect.

8. Limitation of Liability & Disclaimers

LocalYantra is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, LocalYantra disclaims all warranties, express or implied.

In no event shall LocalYantra, its directors, or employees be liable for any indirect, punitive, or consequential damages (including loss of business profits, algorithmic ranking shifts, or platform downtime). Our aggregate liability under any circumstance is strictly capped at the total amount paid by you to LocalYantra in the three (3) months preceding the incident.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Noida / Gautam Buddha Nagar, Uttar Pradesh, India.
